YOU AGREE THAT, REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE, USE OF THE SERVICE, OR THE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUDH CLAIM OR CAUSE OF ACTION AROSE OR FOREVER BE BARRED.

    You agree to indemnify, defend and hold harmless Happy Days and its affiliates, officers, owners, employees, agents, and partners from any claims and expenses, including reasonable attorneys' fees, arising from or related to:

  4. Your violation of law or rights.

    Happy Days complies with the Digital Millennium Copyright Act. Copyright notices must include: Signature, description of copyrighted work, URL of infringing material, contact information, good-faith statement, accuracy statement under penalty of perjury. Send notices to: support@happydays.com.

  2. ELECTRONIC COMMUNICATIONS You consent to receive communications electronically. Electronic records satisfy legal notice requirements.

  3. PAYMENTS (IF APPLICABLE) Should this Happy Days site allow for payments, all sales are final unless stated otherwise. Happy Days may change pricing at any time. You authorize Happy Days to charge payment methods on file.

  5. TERMINATION, SURVIVAL
    Happy Days may suspend or terminate access at any time, with or without notice. Sections that by nature should survive shall survive termination.

  7. ASSIGNMENT Happy Days may assign this Agreement without restriction. You may not assign this Agreement without express written consent from Happy Days.

  8. GOVERNING LAW, BINDING ARBITRATION The Terms are governed by the laws of the State of Oklahoma. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in Oklahoma County, Oklahoma.

  9. CLASS ACTION WAIVER TO THE EXTENT PERMITTED BY LAW, YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, MEANING NO CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS.

  10. NON-WAIVER, SEVERABILITY
    The failure of Happy Days to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms shall remain in full force and effect.

  11. HEADINGS FOR CONVENIENCE ONLY
    The section titles in the Terms are for convenience only and have no legal or contractual effect.

  12. ENTIRE AGREEMENT This Agreement and any other terms and conditions of service on any Happy Days property constitute the entire agreement between you and Happy Days govern your use of the Service.
